1. Description of Service

TalosTic is a cloud-based software-as-a-service (SaaS) utility optimization platform. The Service integrates with your smart home energy hardware (inverters, batteries, and EV chargers) and your utility tariff (such as Octopus Energy) to automate charging and discharging schedules to minimize your electricity costs.

2. Account Registration & Credentials

To utilize the Service, you must provide valid third-party API credentials (such as Octopus Energy API keys, FoxESS Open API keys, and Zaptec or Hypervolt credentials).

  • Encryption at Rest: All sensitive credentials are encrypted at rest using AES-256-GCM. However, you acknowledge that you provide these credentials at your own risk.
  • Accuracy: You represent that all hardware serial numbers and credentials provided are owned by you or that you have authorization to link them.

3. Automated Control Loops & Manual Overrides

When the Service is configured to run in "Agent Auto" or "TalosTic" control mode, background tasks execute automated scheduling ticks (typically every 5 minutes for home batteries and every 2 minutes for EV chargers).

The Service is designed to maintain optimization bounds. If you manually start, pause, or change settings using physical hardware buttons or manufacturer-specific mobile applications (e.g., the Zaptec app or FoxESS portal), our automation loops will override your adjustments on the next tick to protect your cheap tariff slots. This applies to both EV charger rates/states and home battery charging/discharging modes. If you wish to retain manual controls, you must set the Service to "Monitor Only" or "Octopus IOG" mode.

4. Disclaimers of Liability & No Guarantees

No Utility Bill or Savings Guarantees: TalosTic optimizes schedules based on tariff parameters, battery capacity, and solar generation forecasting. However, actual savings fluctuate based on weather conditions, dynamic pricing changes, household consumption surges, and API connectivity. TalosTic is not liable for higher-than-expected utility bills or any financial losses resulting from the Service's scheduling decisions (including, but not limited to, cases where software bugs, system lag, scheduler sync failures, or incorrect pricing calculations cause your system to charge during peak-rate periods or fail to discharge during peak windows). All automation runs at your own risk.

Accuracy of User Configurations: If you manually enter peak/off-peak rates, times, battery capacities, or charge thresholds in the Settings portal, you are solely responsible for their accuracy. TalosTic is not liable for any financial losses or incorrect scheduling decisions resulting from user typos, incorrect configurations, or out-of-date pricing inputs.

Local Connectivity & Power Grid Outages: The Service requires active internet connectivity at your property to communicate with hardware cloud endpoints. TalosTic is not liable for any failure to monitor, pause, or schedule devices due to local Wi-Fi outages, internet connection failures, router malfunctions, or local power grid blackouts.

No Hardware or Battery Degradation Liability: Dynamic charging, force-charging, grid-charging, and force-discharging cycles place physical demand on battery cells, inverters, and EV chargers. By enabling automation, you accept full responsibility for any physical wear-and-tear, nominal capacity degradation, cell balancing anomalies, or hardware failures. TalosTic disclaims all liability for hardware wear or voided manufacturer warranties.

No Liability for Uncharged or Undercharged Vehicles: The Service automates pauses and resumptions of your EV charger. Due to software bugs, API connection failures, vehicle sleeping states (where the car fails to wake up to charge), or scheduler errors, your vehicle may fail to charge, be undercharged, or fail to initiate a charging session. TalosTic is not liable for any uncharged or undercharged vehicles, nor any consequential damages, expenses, or losses arising from such events (including, but not limited to, alternative transportation costs, taxi fares, missed travel arrangements, lost wages, or missed business opportunities). You are responsible for manually monitoring your vehicle's charge state before critical travel.

Limitation of Liability Cap: Under no circumstances shall TalosTic's total liability to you for all damages, losses, or causes of action exceed £100.00 or the total amount paid by you to TalosTic in the twelve (12) months preceding the claim, whichever is lower.

Grid & DNO Compliance: You are solely responsible for ensuring that all charging, discharging, and grid-export behaviors of your equipment comply with local grid regulations, laws, and utility contracts. You represent that you have obtained any necessary permissions (such as UK Distribution Network Operator/DNO agreements) required for active exporting. TalosTic is not liable for any penalties, fines, or disconnections imposed by grid operators or utilities.

Compliance with Third-Party Terms: You are responsible for ensuring that connecting your hardware APIs to TalosTic does not violate the terms of service of third parties (e.g., Octopus Energy, FoxESS, Zaptec, Hypervolt). TalosTic is not liable if a third-party manufacturer or utility bans your account, blocks API access, or voids your hardware warranty due to automated scheduler ticks.

No Professional Advice: All dashboard stats, savings calculations, schedules, and recommended settings are for informational and automation purposes only. They do not constitute financial, legal, electrical engineering, or utility advisory services. You assume full risk for relying on these metrics.

Third-Party API Outages: The Service relies on public cloud APIs provided by third parties (FoxESS, Zaptec, Octopus, etc.). Rate-limiting, authentication failures, or server outages on their end may result in missed ticks, schedule failures, or outdated telemetry. TalosTic is not responsible for losses incurred due to third-party API downtime.

5. Term & Termination

During any testing or beta phase, the Service is provided free of charge on an "as-is" basis. We reserve the right to suspend or terminate your account or API integrations at any time without notice if we suspect security risks, API abuse, or violation of these Terms.

6. Governing Law & Dispute Resolution

Governing Law: These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the English courts.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You hereby waive the right to participate in a class-action lawsuit or class-wide arbitration.
